PREMIUM EXCLUSIVE LICENSE AGREEMENT (NOTICE OF TERMS) — EXCLUSIVE RIGHTS

READ CAREFULLY. THIS IS A LEGALLY BINDING LICENSE NOTICE. By purchasing, downloading, opening, accessing, or using any Beat(s) from this pack, you (“Licensee/Artist”) agree to these terms with Go10 operating under FNS Music Group (“Licensor/Producer”).

A) Parties: ● Licensor/Producer/Composer: Go10 (FNS Music Group) ● Licensee/Artist: The person/company shown on the purchase receipt, checkout details, or order confirmation email (“Order Record”).

B) Definitions: ● “Beat” = any instrumental audio file included in this pack (MP3/WAV/stems where applicable). ● “Beat Pack” = a bundled product containing multiple Beats (example: a “5-Beat Pack”). ● “Per-Beat License” = each Beat is licensed individually.

C) Automatic Acceptance / Effective Time (No Signature Needed): This license becomes effective immediately at the time of purchase shown in the Order Record. No signature is required. Your Order Record is proof of purchase and agreement.

D) Price & Scope — IMPORTANT (Per Beat): ● $500 USD is the exclusive license fee for ONE (1) Beat. within the Beat Pack. ● Buying a 5-Beat Pack may include multiple Beats, but your license rights apply only to the number of Beats paid for per your Order Record. ● If you paid for 5 Beats at $2,500 USD, you license up to five (5) Beats inside the chosen 5 Beat Pack, each under these terms. ● This exclusive purchase includes more than one Beat, rights apply only to the number of Beats paid for per the Order Record which will be 5 Beats.

E) Deliverables All available formats for the purchased Beat(s), including: ● HQ WAV, HQ MP3, Trackouts/Stems, and any included alternates (if provided). Additional customization and “much more” terms may be provided via email and are incorporated by reference into this Agreement (“Email Terms”).

F) Exclusive Rights (Forward-Looking Exclusivity) Licensor grants Buyer an EXCLUSIVE license to use the purchased Beat(s), meaning: 1. Licensor will stop leasing/selling the purchased Beat(s) to new customers after the exclusive sale. 2. The purchased Beat(s) will be removed from go10onthetrack.com Beat Store listings. Important Notice About Prior Leases: Buyer acknowledges that prior non-exclusive licenses may already exist from previous sales, and those prior licensees may continue using rights they already obtained. Exclusivity applies from the purchase time forward.

G) Rights Granted (What Buyer MAY Do) For each Beat purchased exclusively, Buyer may: ● Create unlimited new recordings using the Beat(s). ● Distribute, sell, stream, and monetize with no caps. ● Use in commercial promotions and music videos. ● Pitch Buyer’s recordings for sync (TV/film/ads/games) as part of Buyer’s master recordings.

H) Ownership (Beat Ownership Stays With Licensor Unless Buyout Addendum) Unless a separate written buyout/assignment is signed: ● Licensor retains ownership of the underlying Beat (composition + Beat master) and CAN NOT Resale the Beats in the chosen Beat Pack that the buyer (Licensee/Artist) purchased. ● Buyer receives exclusive usage rights as stated.

I) Publishing / Songwriting Split (Default) Unless modified in Email Terms or a written addendum: ● Composition: 50% Go10 (FNS Music Group) / 50% Buyer (or Buyer’s writer) Buyer must register/credit Producer properly.

J) Producer Credit (Required) Where credits appear: “Produced by Go10 (FNS Music Group)”

K) Restrictions (Even Under Exclusive) Buyer may NOT: ● Resell, redistribute, sublicense, or give away the Beat files, stems, or project materials as standalone products ● Claim authorship/production of the Beat ● Turn the Beat/stems into kits/packs/MIDI packs/sample packs ● Use the Beat/files for AI training ● Release the Beat as a standalone instrumental “by Buyer” without written approval (unless Email Terms explicitly allow)

L) Content ID / Claims (Exclusive Handling) Licensor will not intentionally block Buyer’s monetization of Buyer’s official releases. If claims occur, Buyer provides proof of purchase and Licensor will reasonably cooperate to resolve/whitelist Buyer’s official channels/releases.

M) No Refunds (Digital Goods) All sales are final once delivered/accessed, except where required by law.

N) Governing Law Governing law: Wisconsin, USA. If any part is unenforceable, the rest remains in effect.
